THE ORGANIZATION'S COMPENSATION COMMITTEE MEETS ON AN ANNUAL BASIS TO REVIEW THE PERFORMANCE OF THE CHIEF EXECUTIVE OFFICER AND OTHER KEY EMPLOYEES AND APPROVE THE COMPENSATION TO BE PAID FOR THE ENSUING PERIOD. THE COMPENSATION COMMITTEE INCORPORATES VARIOUS FACTORS, INCLUDING COMPARATIVE COMPENSATION STATISTICS IN ASSESSING THE EMPLOYEE'S PERFORMANCE AND THE LEVEL OF COMPENSATION.
